The background itself is made by a photocopier with the lid left open and no original on the glass. It's basically an unlit picture of the ceiling.

Easy way to do it would be to use Live Trace then place rectangle over it colour to the area which surrounds the rectangle. Other way is to make a rectangle same as art board colour it black then introduce some transparency to it on new layer using multiply. After that bring some noise into it through one of the effect PS plugins, Texture would be the one that I would use, and again still using plugins do a Photocopier Effect.

I think I'm the only one that thought of using some textured card/paper and some paint applied with a cloth or kitchen paper, then on to the scanner.
or just open the scanner lid and press start
(keep your bum out of the way)

i dont know if i wantto use the pic and just remove the font beacuse it is not a good resoultion and i gonna print it so..
Tried to upload a zipped AI file to you but too large for T/Graphics to do.
Here are a few instructions on how to get the effect using AI's PS plugins through the Effects menu.
1. Draw a black filled rectangle to the size that you want.
2. Duplicate that layer
3. Lock layer1
4. On top layer with it selected go the Effects Gallery from Effects menu. Choose Grain with 70 intensity, 50 contrast, grain type vertical, click OK.
5. Still on top layer give the object a Transparency,- Normal, - 30% and Gradient of -120 Linear
6. Unlock Layer1 and do the same with Grain but give it 60 intensity, 55 contrast, with grain type horizontal
These are only approx settings as didn't have much time but mess about with them and you can rasterize each layer (Flatten) and do a Live Trace on each and fill in as vectors. They are loads of tuts. on subject. Do as search on Grunge Effects.
