If this is for a website, I would just create the bulk of it in X1, except for the rotating X. I would save that as a .gif and just slice and dice the x1 pic to fit around the gif... if would make for a much smaller picture and a smoother fade.
Ummm... I did not think about that... so making the X transparent would do the trick?
I'm worried about the checkered background...

To move the text, hold down Ctrl-Alt-Shft and, when a 4-headed arrow pops up with a little circle in the center of it, drag the text to wherever you want.

Yes! Alt key does the trick, just make sure the mouse is over the text/graphics if not the backgroud moves!

What is the final file size? If you do a sliced bitmap it will be much smaller I would imagine. .jpgs are always smaller in a blend. .Gifs are sharper.
To recreate your banner I would do a table with the fade as a .jpg as a background and create a couple transparent gifs for the rest... Should come out looking good and much, much smaller. Maybe under 10K...
