The background itself is made by a photocopier with the lid left open and no original on the glass. It's basically an unlit picture of the ceiling.

Easy way to do it would be to use Live Trace then place rectangle over it colour to the area which surrounds the rectangle. Other way is to make a rectangle same as art board colour it black then introduce some transparency to it on new layer using multiply. After that bring some noise into it through one of the effect PS plugins, Texture would be the one that I would use, and again still using plugins do a Photocopier Effect.
Design is thinking made visual.
I think I'm the only one that thought of using some textured card/paper and some paint applied with a cloth or kitchen paper, then on to the scanner.
